
Terms of Use
1. Tools for Thought. Tools for Thought is an online subscription resource developed by The Critical Thinking Consortium (TC²).
2. Scope of License. Use Restrictions. The license allows for a designator contact at each subscribing school to distribute the online password and/or copies of Tools for Thought to all staff belonging to the school. The subscriber agrees to maintain security of access to this resource by authenticating authorized users to this information. Authorized users must be employees, faculty, staff, or students officially affiliated with the subscribing school. This license entitles the authorized users to access Tools for Thought on the TC² website to:
a. Download one or more copies in hard copy form of the resource; such copies may not be sold and may not be distributed to anyone who is not an authorized user; and
b. Download issues of the resource to hard disk or diskette, provided that such data is not made available to anyone who is not an authorized user. Authorized users who do download and/or print the resource must maintain all copyright and other notices.
An authorized user may not make Tools for Thought available to anyone other than another authorized user, whether by telephone link or permitting access through his or her terminal or computer, or by other similar or dissimilar means or arrangements.
Each subscriber will make reasonable efforts to maintain security and monitor all use (including unauthorized use) from its respective site and to communicate the terms of the license to their users.
3. Access. Tools for Thought access is granted only to authorized staff and teachers belonging to schools, school districts, or organizations that have accepted this Agreement and paid their subscriptions fees for the year. Six (6) issues will be made available per school year.
4. Terms and Fees. Upon payments of the Subscription Fee and acceptance of this agreement, subscribers will be emailed a password and the link to gain access to Tools for Thought. The annual subscription fee per school is $125/year to non-partners, and $100/year for partners of the Consortium, unless otherwise negotiated.
This Agreement will last through the end of July each year, whereby a subscription renewal will be solicited. This Agreement will remain in effect thereafter for successive years so long as all applicable fees are paid. Failure to renew a subscription and pay the associated fees on or before the renewal date will cause the subscription to be invalid.
Subscribers may cancel their subscription at any time provided written notice of their cancellation is given to the Consortium. Cancellation during the subscription year (August to July) will not entitle the subscriber to any fee rebate from the Consortium.
5. Support. For all inquiries and tech support questions, please email tc2@interchange.ubc.ca or call 604-822-9297 during business hours (Mon-Fri, 10am-5pm, PST). In addition, the Consortium encourages subscribers to engage in professional learning programs to support the use of the Tools for Thought materials.
6. Copyright. Tools for Thought and its contents are subject to copyright protection and other rights of the publisher (The Critical Thinking Consortium), under the laws of Canada and the country of use.
Subscribers acknowledge that they have no claim to ownership by reason of its use of or access to Tools for Thought. Downloading of resources is permitted solely for subscriber’s internal use to the same extent as the printed version of the resource. Recompiling, publication or republication of the materials, or any portion thereof, in any form or medium whatsoever, may only be done with specific written permission from The Critical Thinking Consortium. 7. Suspension or termination of access. The Critical Thinking Consortium reserves the right to suspend and/or terminate access to Tools for Thought for any subscriber without prior notice if a subscriber violates any term of this Agreement. Any use of Tools for Thought beyond the scope of the License or any fraudulent, abusive, or otherwise illegal activities may be grounds for termination of access.
8. Disclaimer of warranties.
a) The Critical Thinking Consortium has made and will make good faith efforts to ensure that Tools for Thought is complete and accurate. However, TC² does not warrant completeness or accuracy, and does not warrant that subscriber users use of Tools for Thought will be useful or will satisfy the user’s requirements.
b) The Critical Thinking Consortium warrants that it is entitled to grant the licenses outlined in this Agreement, but makes no other warranties or representations of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
c) Subscribers will be permitted to access Tools for Thought at any time. The Critical Thinking Consortium will not be liable for any delay, down time, or other failure of the online access, but will use reasonable efforts to correct any online access problems brought to its attention.
d) The Critical Thinking Consortium will not be responsible for incidental, consequential, or any other damages arising out of or in connection with the service or materials provided hereunder.
e) Each subscriber assumes the responsibility for all use of the Tools for Thought resource by their respective authorized users and agrees to indemnify and hold TC² harmless from any liability or claim of any person arising from such use.
9. General.
a) This Agreement constitutes the entire agreement of the parties and supersedes any prior arrangements and understandings relating to the subject matter hereof. Only a written instrument signed by both parties may amend it.
b) Neither the subscriber nor any of its authorized users may assign or transfer any rights under this Agreement.
c) In the event that any provision of this Agreement is held to be invalid, the remainder of the provisions shall continue in full force and effect.
d) This Agreement will be governed and construed according to Canadian Law. Any action arising out of or relating to this Agreement or Tools for Thought may be brought in courts situated in Canada, and the parties consent to the jurisdiction of such courts.
